Terms of Service

1. Agreement to Terms

By accessing or using LEDGA ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

LEDGA is a cloud-based accounting software platform operated by LEDGA (Pty) Ltd, a company registered in the Republic of South Africa.

2. Description of Service

LEDGA provides accounting, invoicing, expense tracking, VAT calculation, and financial reporting tools designed specifically for South African small and medium enterprises (SMEs). The Service includes:

  • Professional invoice creation and management
  • Expense tracking and categorisation
  • VAT201 report generation for SARS eFiling
  • Bank account integration with major South African banks
  • Financial dashboards and reporting
  • Client and supplier management
  • Multi-user access with role-based permissions

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised access or security breach

You must be at least 18 years old to create an account. By creating an account, you represent that you have the legal authority to bind yourself or your business to these Terms.

4. Subscription and Payment

LEDGA offers various subscription plans. By selecting a paid plan, you agree to:

  • Pay all fees associated with your chosen plan in South African Rand (ZAR)
  • Provide valid payment information and authorise recurring charges
  • Accept that subscriptions renew automatically unless cancelled

All prices are inclusive of VAT at the applicable rate. We reserve the right to modify pricing with 30 days' notice. Refunds are provided on a case-by-case basis and are not guaranteed.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable South African or international laws
  • Transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the integrity of the Service
  • Store or transmit fraudulent financial information
  • Impersonate another person or entity
  • Use automated systems to access the Service without permission

6. Data Ownership

You retain ownership of all data you upload to the Service ("Your Data"). By using the Service, you grant LEDGA a limited licence to process Your Data solely for the purpose of providing the Service.

You may export Your Data at any time. Upon account termination, we will retain Your Data for 90 days, after which it will be permanently deleted unless required by law to retain it longer.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data loss, or damages resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by South African law:

  • LEDGA is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not responsible for the accuracy of your tax calculations or compliance decisions

LEDGA is a tool to assist with accounting tasks. It does not constitute professional accounting, tax, or legal advice. You remain responsible for your own compliance with SARS requirements.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Sections relating to data ownership, limitation of liability, and governing law survive termination.

10. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa. The Consumer Protection Act 68 of 2008 applies where relevant.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
